Terms of Service for Store Admins (Vendors)

Effective Date: 16th March, 2026

Platform Role

H2 Gadgets does not manufacture products.

H2 Gadgets Shop operates as a hybrid marketplace, functioning both as a platform provider and, in certain cases, a direct seller of products.

2. No Manufacturing Responsibility

H2 Gadgets does not manufacture the products listed on the platform unless explicitly stated. All products (whether vendor-supplied or H2-owned) originate from external manufacturers or suppliers.

1. Dual Role Structure (Marketplace + Direct Seller)

H2 Gadgets may operate in two distinct capacities:

Marketplace Facilitator (Third-Party Vendors)

  • Provides digital infrastructure for independent vendors to list and sell products.
  • Enables transactions between buyers and third-party vendors.
  • Integrates CypherX escrow to secure payments.

Direct Seller (H2-Owned Inventory)

  • H2 Gadgets may list and sell products that it owns directly.
  • In such cases, H2 Gadgets acts as the vendor of record.
  • These products are subject to the same listing, escrow, and dispute policies.
H2 Gadgets does not take ownership of vendor products.

3. Ownership of Products

  • Third-party vendor listings: Ownership remains with the respective vendors until purchase is completed.
  • H2 Gadgets listings: Ownership is held by H2 Gadgets until sold to the buyer.

4. Marketplace Infrastructure & Escrow Integration

H2 Gadgets provides:

  • Marketplace infrastructure (storefront, listings, dashboards).
  • Vendor onboarding and management systems.
  • Product moderation and compliance controls.
  • Integration with CypherX escrow for secure transactions.

5. Role in Transactions

For third-party vendor sales:

  • H2 Gadgets acts as an intermediary platform.
  • The contract of sale exists between the buyer and the vendor.
  • H2 Gadgets is not a party to product ownership transfer.

For H2 Gadgets direct sales:

  • H2 Gadgets acts as the seller of record.
  • The contract of sale exists directly between H2 Gadgets and the buyer.
  • H2 Gadgets assumes vendor responsibilities for those listings.
The platform provides marketplace infrastructure and escrow integration only.

6. Standardized Transaction Framework

Regardless of seller type:

  • All transactions must go through CypherX escrow.
  • All listings must comply with marketplace policies.
  • All disputes are handled under the same dispute resolution framework.

7. Limitation of Platform Liability

For third-party vendor listings, H2 Gadgets does not guarantee:

  • Product quality.
  • Vendor performance.
  • Delivery outcomes.

For H2-owned listings:

  • H2 Gadgets assumes responsibility only as the vendor for those specific products.
  • Liability is limited in accordance with applicable policies and laws.

8. Transparency to Buyers

H2 Gadgets will ensure that buyers can clearly identify whether a product is:

  • Sold by an independent vendor.
  • Sold directly by H2 Gadgets.

9. Risk Allocation Principle

H2 Gadgets operates both as a marketplace and a seller; however, responsibility is clearly assigned based on the source of the product.

10. Key Principle

H2 Gadgets enables and participates in commerce — as both a platform provider and, where applicable, a direct vendor — while maintaining a standardized, escrow-secured transaction environment.

Vendor Eligibility and KYC

Vendors must be at least 18 years old.

1. Minimum Age Requirement

Vendors must be at least 18 years old. By registering, vendors confirm they have legal capacity to enter binding agreements.

Accurate registration information is required.

2. Accurate Registration Information

Vendors must provide:

  • True, complete, and up-to-date personal or business details.
  • A valid phone number (linked to CypherX).
  • Correct store information.
Identity verification (NIN, Voter Card, Passport, or Driver License) is mandatory.

3. Mandatory Identity Verification (KYC)

All vendors must complete identity verification using one of the following:

  • National Identification Number (NIN).
  • Voter's Card.
  • International Passport.
  • Driver's License.

Verification Requirements

  • Submitted documents must be valid and not expired.
  • Information must match registration details.
  • H2 Gadgets may request additional verification at any time.

Non-Compliance

Failure to complete or maintain KYC may result in:

  • Account restriction.
  • Suspension or termination.

Vendor Responsibilities

Ensure listing accuracy and authenticity.

1. Ensure Listing Accuracy and Authenticity

All product information must be truthful, complete, and not misleading.

  • Products must be genuine and legally sourced.
  • Images must accurately represent the actual item.
Provide warranties and customer service where applicable.

2. Provide Warranties and Customer Service (Where Applicable)

  • Vendors are responsible for honoring any warranties stated in listings.
  • Vendors must provide reasonable post-sale support.
  • Clear return or service terms must be communicated where applicable.
Fulfill orders within stated timelines.

3. Fulfill Orders Within Stated Timelines

  • Orders must be processed and delivered within the promised timeframe.
  • Vendors must update order status promptly.
  • Delays must be communicated to buyers proactively.

Performance Expectation

Consistent failure to meet responsibilities may result in penalties or suspension.

Listing Approval

All vendor listings are reviewed and approved by the Super Admin before appearing on the storefront.

All product listings are subject to mandatory review and approval before publication.

Moderation Requirement

  • Every listing is reviewed by the Super Admin.
  • Listings must comply with all marketplace policies.

Approval Conditions

  • Complete and accurate product details.
  • Valid images and specifications.
  • Compliance with authenticity and IMEI rules.

Outcomes

  • Approved -> published to storefront.
  • Rejected -> vendor notified with reason.
  • Clarification requested -> vendor must update listing.

Control Principle

No product goes live without approval.

Prohibited Activities

Selling counterfeit, stolen, or blacklisted devices.

1. Selling Counterfeit, Stolen, or Blacklisted Devices

Vendors must not sell:

  • Fake or imitation products.
  • Devices reported as stolen.
  • Devices with blocked or blacklisted IMEI.
Misrepresenting product condition or images.

2. Misrepresenting Product Condition or Images

  • False descriptions or misleading specifications.
  • Hiding defects or damage.
  • Using inaccurate or deceptive images.
Bypassing CypherX escrow.

3. Bypassing CypherX Escrow

  • Attempting to complete transactions outside the platform.
  • Sharing contact details to avoid escrow.
  • Requesting direct payments.

Enforcement

Violations may result in:

  • Listing removal.
  • Account suspension or permanent ban.
  • Fund reversal or withholding.

Escrow Payments

Buyer pays invoice.

All transactions must follow the CypherX escrow process:

1. Buyer Pays Invoice

Buyer funds the invoice using provided payment details.

CypherX holds funds.

2. CypherX Holds Funds

  • Funds are securely locked in escrow.
  • Vendor is notified to proceed.
Vendor delivers item.

3. Vendor Delivers Item

Vendor fulfills the order and updates delivery status.

Buyer confirms delivery and funds are released.

4. Buyer Confirms Delivery

Buyer inspects and confirms order satisfaction.

5. Funds Are Released

Payment is released to vendor upon confirmation.

Auto-release may occur after confirmation window.

6. Auto-Release Rule

If buyer does not act within the defined window, funds are automatically released.

Compliance Requirement

Vendors must not request or accept payments outside escrow.

Disputes

Disputes remain within CypherX escrow. Funds stay locked until resolution. CypherX records are final transaction evidence.

All disputes are handled within the CypherX escrow framework.

1. Escrow Protection

  • Disputed funds remain locked.
  • No party can access funds during investigation.

2. Evidence-Based Resolution

  • Decisions are based on submitted evidence and system records.
  • Product listing and transaction logs serve as primary references.

3. Finality of Records

  • CypherX transaction records are considered authoritative and binding.
  • Outcomes are enforced based on these records.

Fees and Suspension

H2 Gadgets may apply listing, commission, or promotional fees.

1. Platform Fees

H2 Gadgets may charge:

  • Listing fees.
  • Sales commissions.
  • Promotional or advertising fees.

Fee Terms

  • Fees are disclosed prior to application.
  • Fees may be updated with notice.
Vendor accounts may be suspended for fraud, policy violations, or legal requests.

2. Account Suspension

Vendor accounts may be restricted or suspended for:

  • Fraud or suspicious activity.
  • Policy violations.
  • High dispute rates.
  • Legal or regulatory requests.

Enforcement Levels

  • Temporary restriction.
  • Full suspension.
  • Permanent account termination.

Liability and IP

Vendors are responsible for product defects, delivery failures, and listing content.

1. Vendor Liability

Vendors are solely responsible for:

  • Product defects.
  • Delivery failures.
  • Accuracy of listings.
  • Compliance with laws.
Vendors must upload only content they have rights to use.

2. Content Ownership and Rights

Vendors must ensure that:

  • All uploaded images and content are owned or properly licensed.
  • No third-party intellectual property rights are violated.

Prohibited Content Use

  • Unauthorized use of brand assets.
  • Copying listings from other vendors without rights.

Consequences

  • Content removal.
  • Account suspension.
  • Legal action where applicable.

Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.

Legal Framework

All transactions and disputes are subject to Nigerian law.

Jurisdiction

Courts within Nigeria shall have jurisdiction over disputes.

Compliance Requirement

Vendors agree to:

  • Operate in accordance with applicable laws and regulations.
  • Comply with all marketplace policies and enforcement actions.

Dispute Jurisdiction

Any legal claims must be resolved within Nigerian courts.
